Terms of Service and Agreement
These terms of service apply to the contractual relationship between the Ketjuton.fi service, maintained by Mainostoimisto Aate Oy (Business ID: 2814000-5), and the company using the service (hereinafter the “Customer”).
1. Subject and Purpose of the Service
Ketjuton.fi is a marketplace and visibility platform that offers independent restaurant entrepreneurs marketing packages and online visibility. The Service Provider is responsible for the technical maintenance and development of the platform.
2. Payment Terms and Invoicing
- Payment Term: The payment term for invoices is seven (7) days from the invoice date.
- Interest on Late Payment: Late payments are subject to interest on arrears in accordance with the Interest Act, along with statutory collection fees.
- Opening the Service: The Service Provider has the right to refuse to publish the Customer’s visibility package if the Customer has overdue payments.
3. Information Security and Maintenance
- The Service Provider ensures the information security of the Ketjuton.fi website in accordance with generally accepted industry practices.
- The Service Provider has the right to temporarily interrupt the service for maintenance or update procedures without any separate obligation to pay compensation.
4. Database and Marketing
- Formation of the Register: Upon the creation of the agreement, the Service Provider collects the Customer’s contact details (company name, contact person, email, phone number) into the customer database.
- Upselling and Direct Marketing: By accepting these terms, the Customer grants the Service Provider the right to use the collected information for notifications related to the Ketjuton.fi service, customer surveys, as well as direct marketing and upselling by Mainostoimisto Aate Oy.
- Data Protection: The processing of personal data complies with the applicable data protection legislation (GDPR).
5. Intellectual Property Rights and Materials
- The Customer is responsible for ensuring that the material it provides (logos, images, texts) does not infringe on the copyrights of third parties.
- All rights related to the structure, layout, and brand of the Ketjuton.fi website belong to Mainostoimisto Aate Oy.
6. Limitation of Liability
The Service Provider is not liable for the Customer’s business success or for any indirect damages that the use of the service or its temporary interruption may cause. The maximum liability of the Service Provider is always limited to the value of the visibility package paid for by the Customer.
7. Contract Duration and Termination
7.1 Contract Period
The contract is for a fixed term and enters into force at the time of ordering the service package. The contract is valid until December 31, 2026.
7.2 Renewal
At the end of the contract period, the parties have the right to renew the contract for the year 2027. The Service Provider will send the Customer a proposal regarding the continuation of the contract and any updated prices at least 30 days before the end of the current contract period. The contract is renewed for the year 2027 when the Customer accepts the offer or makes a new order by the end of January.
7.3 Termination During the Contract Period
Because this is a fixed-term contract, it cannot be terminated before the end of the contract period. The Customer is obligated to pay all fees based on the contract for the entire contract period (until December 31, 2026), even if they decide to stop using the service or cease business operations before the period ends.
7.4 Right of Termination in Special Situations
The Service Provider has the right to terminate the contract with immediate effect if:
- The Customer neglects their payment obligations despite reminders.
- The Customer materially breaches these terms of service or good marketing practices.
- The Customer is declared bankrupt, enters corporate restructuring, or is otherwise deemed insolvent.
